ContraVir Pharmaceuticals, Inc. (NASDAQ:CTRV), a biopharmaceutical company focused on the development of therapeutic drugs for the treatment of liver disease arising from non-alcoholic steatohepatitis (NASH) and chronic viral infection, has closed an underwritten public offering. The securities offered were (i) Class A Units each consisting of one share of Common Stock and one Warrant to purchase one share of Common Stock at a combined price of $6.00 per Class A Unit, and (ii) Class B Units each consisting of one share of Series E Convertible Preferred Stock, with a stated value of $1,000 per share, and convertible into 167 shares of Common Stock per share of Series E Convertible Preferred Stock, and a Warrant to purchase 167 shares of Common Stock, at a combined price of $1,000 per Class B Unit. The aggregate number of shares of Common Stock issued pursuant to the Class A Units and issuable upon conversion of all the Series E Convertible Preferred Stock was 2,600,000. The aggregate number of Warrants issued in the offering was 2,600,000. The Warrants have an exercise price of $6.00 that were exercisable upon issuance and will expire five years from the date of issuance. The shares of Common Stock and the accompanying Warrants included in the Class A Units and Class B Units could only be purchased together in this offering, but were issued separately and were immediately separable upon issuance. The total gross proceeds for ContraVir Pharmaceuticals, Inc. are approximately $15.6 million.
