Transaction Information
Ligand Pharmaceuticals Incorporated (NASDAQ: LGND) has closed a $750 million aggregate principal amount, which includes $100 million of 0.75% convertible senior notes due 2023 in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. The $750 million includes $100 million aggregate principal amount of the notes issued pursuant to the full exercise of the over-allotment option granted to the initial purchasers.

The notes were offered to qualified institutional buyers pursuant to Rule 144A under the Securities Act. Neither the notes nor the shares of common stock issuable upon conversion of the notes, if any, have been registered under the Securities Act or the securities laws of any other jurisdiction, and the notes and any such shares may not be offered or sold absent registration or an applicable exemption from such registration requirements.

ROTH Capital Partners acted as co-manager for the offering.
